These Terms of Use (“Terms”) govern your access to and use of the website located at starwardcapital.com (the “Site”), operated by Starward Capital (“Starward Capital,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

1. Purpose of the Site

The Site is informational in nature. It is provided to communicate general information about Starward Capital, including the firm’s investment focus, geographic concentration, and general approach to investment. The Site is not intended to provide investment advice, legal advice, tax advice, accounting advice, or any other professional advice.

The Site does not constitute, and nothing contained on the Site shall be deemed to constitute:

Any offering of securities or interests in any investment vehicle managed or sponsored by Starward Capital, if and when undertaken, will be made only by means of separate offering documents delivered to specific qualified persons under applicable legal exemptions, in accordance with applicable law, and not through the Site or any general communication.

6. Intellectual Property

All content on the Site, including text, graphics, logos, designs, layouts, and other materials, is owned by Starward Capital or its licensors and is protected by copyright, trademark, and other intellectual property laws. No content of the Site may be copied, reproduced, distributed, modified, transmitted, displayed, performed, published, licensed, or otherwise used in any manner without the prior written consent of Starward Capital, except that:

The name “Starward Capital,” the Starward Capital logo, and other marks of Starward Capital are trademarks of Starward Capital. Other trademarks referenced on the Site are the property of their respective owners. Nothing on the Site shall be construed as granting any license or right to use any trademark without the prior written consent of the trademark owner.

The Site may from time to time contain links to third-party websites, services, or resources. Such links are provided for convenience and reference only. Starward Capital does not endorse, guarantee, or assume responsibility for the content, products, services, or practices of third-party websites or services. 8. User Conduct

You agree that, in connection with your access to and use of the Site, you will not:

10. Changes to These Terms

Starward Capital may revise these Terms from time to time. The effective date at the top of these Terms indicates when the Terms were last revised. Material changes will be communicated through reasonable means, which may include posting an updated version of these Terms on the Site. Your continued use of the Site after the effective date of an updated version constitutes acceptance of the updated Terms.

You are responsible for periodically reviewing these Terms for changes. If you do not agree to the revised Terms, you must discontinue your use of the Site.

11. Governing Law and Dispute Resolution

These Terms and your access to and use of the Site are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to the personal jurisdiction of and venue in such courts.

The foregoing does not deprive you of any protection you may have under mandatory consumer protection laws in your country of residence. If you are a consumer resident in the European Economic Area or the United Kingdom, you may also bring proceedings in the courts of your country of residence to the extent required by applicable consumer protection law.

12. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable for any reason, that provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect. Where possible, the invalid, unlawful, or unenforceable provision shall be replaced with a valid, lawful, and enforceable provision that most closely reflects the original intent of the parties.

13. Entire Agreement

These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and Starward Capital with respect to your access to and use of the Site, and supersede all prior agreements, representations, and understandings, whether oral or written, with respect to such subject matter.

14. No Waiver

The failure of Starward Capital to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of a right or provision must be in writing and signed by Starward Capital to be effective.

15. Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Starward Capital. Starward Capital may assign, transfer, or delegate its rights and obligations under these Terms at any time without your consent.
